Evolva successfully places new shares

Evolva (SIX: EVE, “Evolva” or the “Company”) has successfully completed its placement of shares which was announced yesterday. Evolva has sold 27,000,000 new shares via an accelerated bookbuild process by way of a private placement in Switzerland and outside of Switzerland in accordance with applicable securities laws. The shares have been placed at a price of CHF 1.37 per share, representing a discount of 4.9% to the closing price of 25 February 2014.

The placement results in gross proceeds for the Company of CHF 37 million. Evolva’s outstanding number of shares will increase by 27,000,000 shares, from 248,780,937 shares (this number includes 6 million treasury shares currently being created in connection with the Company’s Standby Equity Distribution Agreement (SEDA)) to 275,780,937 shares. Evolva will use the proceeds from the share placement to increase the Company’s investment and upside in existing and future projects.

In addition, the Company has granted Credit Suisse, who is acting as Sole Bookrunner in the private placement, an over-allotment option of up to 4,050,000 additional shares which can be exercised within 30 days after the first trading day of the new shares on SIX Swiss Exchange. The shares underlying the over-allotment option will be sourced from the 6 million new treasury shares.

Trading in the new shares on SIX Swiss Exchange is expected to commence on 27 February 2014 and the settlement of the new shares is expected to take place on 3 March 2014. The 6 million new treasury shares are also expected to be listed on SIX Swiss Exchange on 27 February 2014.

The Company has agreed that no additional shares will be issued or sold without the consent of Credit Suisse for a period of 180 days which started on 25 February 2014.
